Role Summary
The Deputy Group Company Secretary provides essential support to the Group Company Secretary in ensuring effective governance, compliance, and statutory obligations across the organisation’s global entities. This role assists in maintaining corporate records, preparing for Board and shareholder meetings, and advising leadership on governance matters, as well as leading on the management of the Group’s share plans.
What you’ll be doing
- Secretary to the Audit and Risk Committee and a regulated entity, arranging meetings, agendas, minutes and follow up actions.
- Draft papers for Board and Committee meetings on corporate governance matters.
- Deputise for the Group Company Secretary as required, liaising with both internal and external stakeholders.
- Project manage the Annual Report project, including advising/drafting various sections and the AGM mailing.
- Support the AGM and related shareholder engagement programme and communications.
- Manage the Group’s share plans (discretionary and all-employee) including purchases.
- Monitor and ensure compliance with relevant legal requirements, including Companies Act, UK Corporate Governance Code, Listing Rules and Market Abuse Regulations.
- Monitor and review developments in corporate governance and best practice and recommend implementation of changes.
- Maintenance of insider lists and ensuring application of the Share Dealing Code and management of close periods.
- Support subsidiary compliance (managed day-to-day by the Company Secretariat Assistant) to ensure maintenance of appropriate registers, filings, minutes, resolutions, powers of attorney and other company secretarial documentation.
- Input into ESG initiatives as required (including SECR compliance and completion of CDP).
- Act as mentor to the Company Secretariat Assistant and Team Administrator to support their day-to-day work and development.
- Additional / ad hoc duties as required to meet the needs of the business.

Other requirements
- Solid experience as a Deputy Company Secretary, Corporate Governance Assistant, or similar role, preferably within a group or multi-jurisdictional setting.
- Strong understanding of corporate law, governance standards, the listing rules, statutory compliance and global share plans.
- Excellent organisational, communication, and interpersonal skills.
- Strong problem-solving and judgement.
- Attention to detail and strong analytical skills.
- Ability to work proactively and collaboratively.
- Ability to handle sensitive information with discretion and confidentiality.
- High level of integrity and professionalism.
- Professional qualifications such as CGI (Chartered Governance Institute) or equivalent are desirable.
